Overview
We are seeking a proactive and experienced Legal Counsel to support the legal needs of a corporate investment environment in Singapore. This role provides legal advice across business-critical areas such as corporate governance, contracting, compliance, and dispute support—ensuring risks are identified early and decisions are supported with clear legal guidance.
The ideal candidate will be a qualified lawyer with strong in-house or advisory experience, excellent drafting and negotiation skills, and the ability to work effectively with senior stakeholders across commercial and operational teams.
Key Responsibilities

Legal Advisory & Risk Management
- Provide end-to-date legal advice to internal stakeholders on corporate, contractual, and regulatory matters.
- Support risk identification, mitigation, and escalation where required.

Contract Drafting, Review & Negotiation
- Draft, review, and negotiate a wide range of agreements (e.g., commercial contracts, advisory/service agreements, term sheets, and other investment-related documentation as applicable).
- Ensure contract provisions align with the organization’s commercial and legal positions.

Corporate Governance Support
- Support governance matters such as resolutions, board/committee matters, and statutory compliance tracking (as applicable).
- Maintain standardized legal templates and contracting playbooks.

Compliance & Regulatory Support
- Support compliance initiatives relevant to the business and its operating activities.
- Assist with regulatory responses, legal checklists, and internal controls.

Disputes & Claims (as applicable)
- Coordinate with external counsel on disputes, claims, and legal correspondence.
- Support document collection, issue analysis, and settlement discussions.

Legal Operations
- Manage and track legal documentation and matters.
- Improve turnaround times for contract reviews and legal processes.

Stakeholder Management
- Build strong working relationships with Finance, Investment, Operations, and senior leadership.
- Communicate legal guidance clearly and practically (business-focused, not overly technical).
Qualifications

Experience
- Typically 3–8 years of relevant legal experience, preferably with in-house exposure or a strong mix of law firm and corporate work.

Qualifications
- Qualified lawyer (Singapore-qualified preferred) with strong understanding of Singapore law.

Contract & Drafting Skills
- Demonstrated ability to draft and negotiate contracts with attention to detail and commercial impact.

Commercial & Corporate Knowledge
- Familiarity with corporate/investment-related legal work (e.g., governance, agreements, due diligence concepts) is a strong advantage.

Communication
- Strong drafting, negotiation, and communication skills in English.

Ownership
- Ability to manage multiple matters simultaneously and work independently with minimal supervision.
