Fund Governance Associate F/M - AIFM

We are representing a well-established and growing international Luxembourg-based AIFM.

They are hiring a Fund Governance Associate F/M to support and coordinate governance processes throughout the lifecycle of the AIFM’s funds and SPVs.

Key Responsibilities:

This is an In-house Fund Governance Associate role who will deal with the following responsibilities: 

• Manage key corporate events, including incorporations, restructurings, liquidations, and distribution
• Lead the end-to-end organisation of Board and Committee meetings, including preparation of packs, active participation, and accurate minute-taking
• Ensure timely and accurate Trade & Companies Register filings
• Coordinate account openings and KYC/onboarding processes with relevant counterparties
• Support and execute investment, investor, and financing closings
• Oversee and streamline signature and documentation processes
• Act as a central point of contact between directors, service providers, and internal stakeholders
• Participate in ad hoc projects and exceptional corporate events within a regulated AIFM framework

• 3+ years of experience in a similar corporate governance, company secretarial, or corporate officer role within the Luxembourg financial sector
• Solid understanding of Luxembourg fund structures (AIFs, SPVs) and governance frameworks
• Fluency in English
• Strong organisational skills with the ability to manage multiple priorities and deadlines
• Excellent interpersonal skills, confident working with senior stakeholders and boards
