About You
We are seeking a detail-oriented, structured, and collaborative professional who thrives in a fast-paced environment. You should have a proactive "can-do" attitude, personal drive, and the ability to manage multiple priorities and tight deadlines.
Key responsibilities:
- Own and oversee the end-to-end corporate secretarial activities across the full lifecycle of entities, primarily Luxembourg-based.
- Manage and coordinate corporate events, including distributions, changes to constitutional documents, and appointments or resignations of directors and signatories.
- Oversee the preparation, coordination, and follow-up of board and shareholder meetings, including agendas, board packs, resolutions, and minutes.
- Act as a governance safety net for the AIFM, ensuring that corporate governance arrangements and decision-making are robust.
- Provide guidance to directors and internal stakeholders on governance matters and best practices.
- Maintain strong oversight of dependencies between accounting, governance, and regulatory requirements (corporate calendar).
- Proactively drive change initiatives and scalable solutions that create long-term impact, improving both operational efficiency and digitalisation readiness.
- Support the Head of Governance locally by addressing issues, proposing solutions, and acting as a role model within the team.
- Support the annual accounts approval process and ensure appropriate governance evidence and audit trails are available.
- Be willing to travel to various locations to attend meetings as required.
Desired Skills and Experience Must-Have:
- University degree (or equivalent) in law, business administration, or a related field.
- Minimum of three years' relevant work experience within the described field (corporate governance/CoSec).
- Proven track record in change management and process improvement.
- Excellent written and verbal communication skills in English.
- Experience working in an international environment.
Nice-to-Have:
- Prior exposure to private equity or another financial services industry.
- Knowledge of Luxembourg law related to Alternative funds (RAIF, SICAR).
- Sound knowledge of counterparty management (AML/KYC), legal entity set-up, and fund liquidations.
