The Role
The Chairman of the Board will be the ultimate steward of corporate governance and shareholder synergy during this transformative post-restructuring phase. This role is highly focused on institutionalizing robust governance frameworks, driving management accountability, and fostering seamless communication across a complex cap table. Working in close partnership with the Founder/President and the executive team, a critical mandate for the Chairman will be to directly lead and steer the company through the rigorous product qualification process for its business lines. The Chairman will ensure that the strategic resources, operational insights, and industry networks of the investors are fully leveraged to drive company long-term commercial growth.
Key Responsibilities
Board Leadership & Advanced Corporate Governance:
- Preside over the Board of Directors, establishing a rigorous, transparent, and highly disciplined governance culture that aligns with top-tier corporate standards.
- Institutionalize effective board operations, including the formation and oversight of critical committees (e.g., Audit, Compensation, Risk Management) to ensure strict management accountability.
- Ensure vigilant oversight of enterprise risk management, regulatory compliance, intellectual property ring-fencing, and fair-trade practices.
- Safeguard the integrity of corporate reporting, ensuring that all financial, engineering, and operational metrics are transparently and accurately communicated to the Board.
- Serve as the primary liaison and strategic diplomat among Company’s key shareholders, ensuring continuous alignment of interests and harmonizing institutional mandates with entrepreneurial vision.
- Proactively facilitate clear, constructive communication channels between the Board, the institutional investors, and the Founder/President’s executive management team to build consensus on critical operational milestones, budget allocations, and strategic pivots.
- Actively coordinate the distinct strategic advantages of the shareholder ecosystem to systematically remove operational roadblocks for the management team.
- Take a hands-on, executive leadership role in steering the company through the critical milestone of qualifying its business lines with major Tier-1 semiconductor clients (e.g., Micron, TSMC).
- Act as the senior executive sponsor in client negotiations, providing high-level strategic cover and leveraging personal industry networks to accelerate the formal auditing and qualification process.
- Guide the overarching corporate strategy, transitioning the company from an EPC/infrastructure build-out phase into high-yield commercial manufacturing and operational excellence.
- Provide high-level oversight on the execution of commercial agreements, supply chain resiliency strategies, and strategic industry partnerships.
- Serve as a trusted advisor, sounding board, and mentor to the Founder/President and the broader senior management team, providing guidance on organizational scaling and operational execution.
- Ensure the executive leadership team is properly focused, incentivized, and aligned with the Board's long-term value creation and profitability objectives.
Qualifications & Experience
- Governance & Stakeholder Mastery: A proven track record as a Chairman, Lead Independent Director, or senior Board Member, with exceptional skills in managing complex cap tables, institutionalizing governance frameworks, and successfully aligning institutional investors with a founder-led management team.
- Industry Expertise: Extensive senior executive experience (15+ years) within the semiconductor supply chain, advanced manufacturing, specialty chemicals, or related deep-tech sectors.
- Product Qualification Leadership: Demonstrated experience leading companies through rigorous, multi-stage product qualification and factory auditing processes with Tier-1 semiconductor foundries or memory manufacturers.
- Diplomacy & Consensus Building: Outstanding interpersonal and communication skills, possessing the diplomatic gravitas required to navigate board-level dynamics, resolve disputes, and build unified strategic consensus.
- Commercial & Operational Acumen: Deep capability in overseeing complex operational pivots (from R&D/construction to commercialization) and driving manufacturing excellence.
