Our client, a leading international alternative asset manager, is seeking a Vice President – Senior Legal Counsel (F/M) to join its Luxembourg platform.
This position sits within the Fund Operations function and serves as the dedicated legal resource supporting the day-to-day operation of Luxembourg-domiciled alternative investment funds, Soparfi holding structures and international investment vehicles. Distinct from the Legal & Compliance team, the role combines legal, corporate governance, fund structuring and transactional responsibilities across the full lifecycle of investment structures.
The Role
As Vice President Senior Legal Counsel, you will work closely with Fund Operations, Investment, Asset Management, Tax, Compliance and Finance teams, providing practical legal support on fund structuring, governance, fund documentation and cross-border transactions.
You will play a key role in ensuring the efficient operation and governance of complex Luxembourg fund structures while supporting investment transactions and strategic projects across multiple jurisdictions.
Key Responsibilities
Fund Structuring & Legal Documentation
- Act as the primary legal contact for the day-to-day management of Luxembourg alternative investment fund structures (RAIFs, SIFs, SCSp, SICAVs, SICARs) and Soparfi holding companies.
- Support the establishment, structuring, launch and reorganisation of alternative investment funds and related holding structures.
- Draft, review and negotiate a broad range of fund documentation, including:
- Limited Partnership Agreements (LPAs)
- Subscription Agreements
- Side Letters
- Investment Management Agreements
- Advisory Agreements
- Administration Agreements
- Depositary Agreements
- Service Provider Contracts
- Coordinate fund closings, investor onboarding processes, capital calls and distributions from a legal and governance perspective.
- Assist with the implementation and maintenance of legal frameworks governing investment vehicles throughout their lifecycle.
Transactional & Investment Support
- Provide legal support to investment and asset management teams throughout the investment lifecycle.
- Review and coordinate transaction documentation relating to:
- Acquisitions and disposals
- Financings and refinancing transactions
- Corporate restructurings
- Joint ventures and co-investments
- Secondary transactions
- Review constitutional documents, shareholder agreements, financing arrangements and intercompany agreements.
- Coordinate with external legal counsel on multi-jurisdictional transactions and investments.
- Assist with legal due diligence exercises and transaction execution processes.
Stakeholder Management & Cross-Border Coordination
- Act as a key point of contact for external stakeholders, including: Law firms, Fund administrators, Depositaries, Auditors, Tax advisers & Corporate service providers
- Coordinate legal matters across multiple jurisdictions and investment platforms.
- Work closely with internal teams to ensure efficient execution of operational and strategic initiatives.
Regulatory & Risk Management
- Monitor legal and regulatory developments affecting Luxembourg alternative investment funds and holding structures.
- Assess legal risks and provide pragmatic, business-oriented solutions.
- Support the implementation of legal and regulatory changes impacting fund structures and governance frameworks.
- Contribute to maintaining high standards of legal, regulatory and corporate governance compliance.
Candidate Profile :
- Qualified Lawyer with at least 8 years of experience gained within an asset manager, AIFM, ManCo, private equity platform, investment fund, law firm or fund services environment.
- Strong expertise in Luxembourg alternative investment funds and Soparfi structures.
- Solid knowledge of Luxembourg corporate law and fund regulations.
- Experience supporting complex cross-border investment structures and transactions.
- Strong drafting and negotiation skills across fund and corporate documentation.
- Ability to work autonomously in a dynamic and international environment.
- Excellent stakeholder management and communication skills.
- Fluent English is essential; French and/or German would be considered an asset.
