We are supporting a fast-growing technology company in hiring a Legal Counsel to work closely with its business and management teams. This role will cover a broad range of commercial and corporate legal matters, with a strong focus on commercial contracts, cross-border business support, and building practical legal processes as the organization continues to scale.
Key Responsibilities

Provide legal support for a wide range of commercial transactions, including customer, supplier, partnership, technology, service, and licensing arrangements.

Draft, review, and negotiate agreements such as MSAs, SOWs, NDAs, service agreements, and licensing contracts, ensuring contractual terms reflect both legal considerations and business needs.

Advise business teams on key contractual risks, including liability, intellectual property, confidentiality, payment terms, indemnification, termination, service commitments, and information security.

Develop and improve internal contracting practices, including standard templates, approval procedures, negotiation guidelines, and contract management processes.

Support legal matters relating to technology, intellectual property, software licensing, data protection, and information security, working closely with relevant internal stakeholders.

Assist with corporate and governance matters, including board/shareholder documentation, corporate records, investment-related activities, and due diligence when required.

Partner with HR on employment-related matters, including employment documentation, internal policies, and employee relations issues.

Review and negotiate agreements with key external vendors and service providers, ensuring appropriate commercial terms, responsibilities, and protections are in place.

Support the company in identifying and managing relevant regulatory and compliance matters associated with its business and international operations, coordinating with external counsel where specialist advice is required.

Help establish scalable legal infrastructure, including contract records, key obligation tracking, legal playbooks, clause guidance, and internal training for business teams.
Qualifications

7+ years of relevant legal experience, ideally including in-house experience or substantial commercial contracting exposure.

Strong experience drafting and negotiating commercial, technology, licensing, and/or service agreements.

Comfortable working independently in a fast-paced and evolving business environment where legal processes may still be developing.

Strong commercial judgment with the ability to identify material risks while supporting practical business solutions.

Fluent English and Mandarin, with the ability to review and negotiate contracts in both languages and support cross-border matters.

Strong organizational and stakeholder-management skills, with an interest in developing efficient and scalable legal processes.

High level of professionalism, discretion, and integrity.
